1. Scope of Services
Microsoft Ads agrees to provide advertising services (the "Services") to promote the Advertiser’s website and/or content via Microsoft’s advertising network. The Advertiser grants Microsoft Ads a non-exclusive, royalty-free license to use provided content (text, images, trademarks) solely for campaign execution.

2. Term
This Agreement begins on the Effective Date and continues until terminated by either party with 30 days’ written notice . Campaigns may be paused or adjusted by the Advertiser via the Microsoft Ads platform.

3. Payment Terms

• The Advertiser agrees to pay for advertising costs (clicks, impressions) as outlined in the Microsoft Ads billing system.
• Payment method: Credit card or direct billing as configured in the Advertiser’s Microsoft Ads account.
• Late payments may incur a fee of 1.5% per month.

4. Content Guidelines

• The Advertiser is solely responsible for the accuracy, legality, and compliance of all ad content.
• Content must adhere to Microsoft Ads Policies (prohibiting misleading claims, copyrighted material without permission, or restricted content).
• Microsoft Ads reserves the right to reject or remove non-compliant ads.

5. Compliance with Laws

• The Advertiser certifies that all ads comply with federal, state, and local laws, including but not limited to:
  • FTC guidelines on endorsements and testimonials.
  • Data privacy laws (e.g., GDPR, CCPA).
• Microsoft Ads may request documentation to verify compliance.

6. Termination

• Either party may terminate this Agreement with 30 days’ notice.
• Microsoft Ads may suspend services immediately if the Advertiser violates policies or applicable laws.

7. Confidentiality
Both parties agree to protect confidential information (e.g., pricing, campaign strategies) and not disclose it to third parties without consent.

8. Liability

• Microsoft Ads is not liable for indirect, incidental, or consequential damages arising from the Services.
• The Advertiser indemnifies Microsoft Ads against claims related to ad content.

9. Notices
All communications must be sent to:

• Microsoft Ads : Via the Microsoft Ads Help Center or legal team.

10. Miscellaneous

• This Agreement binds the Advertiser’s successors and assigns.
• Modifications require written consent from both parties.
• Governing law: State of Washington.

By using Microsoft Ads, the Advertiser accepts these terms.
